Item 7.01. Regulation FD Disclosure.
As part of its fourth quarter earnings announcement on February 27, 2020, Dell Technologies Inc. (the “Company” or “Dell Technologies”) provided financial guidance for full year fiscal 2021. While the Company currently is seeing heightened interest in work from home solutions and continuing execution in its global supply chain, and remains confident in its liquidity position, the Company is unable to predict the extent to which the global COVID-19 pandemic may adversely impact its business operations, financial performance and results of operations for the current fiscal year. As a result of the rising level of uncertainty resulting from the pandemic, the Company has determined to withdraw its previously issued full year fiscal 2021 financial guidance. The Company plans to provide more information during its first quarter earnings call based on the information available at that time.
In accordance with General Instruction B.2. of Form 8-K, the information contained in this Item 7.01 is being “furnished” to the SEC and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities under such section. Further, such information shall not be deemed to be incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Securities Exchange Act of 1934, as amended, unless specifically identified as being incorporated therein by reference.
