1. Represents (a) 1,538 unvested restricted stock units ("RSUs") of an initial aggregate award of 2,308 RSUs granted on March 15, 2019, (b) 558 shares of Class C Common Stock issued upon the first annual vesting of the RSUs granted on March 15, 2019 (after giving effect to the sale of 212 shares for payment of the related tax liability) and (c) 5,949 unvested RSUs granted on March 15, 2020. Each award of RSUs vests in three equal annual installments on the first, second and third anniversaries of the grant date of such award, contingent on the reporting person's continued service on each applicable vesting date.

The undersigned hereby constitutes and appoints Robert Potts and James Williamson as the undersigned’s true and lawful attorneys-in-fact to:
